1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Greymark Insight Group ("Company," "we," "us," or "our"), operating as CompliQuest, governing your access to and use of the compliquest.com website, learning management system, courses, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access or use our Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on behalf of that organization.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used for unauthorized purposes.

4. Services and Course Access

4.1 License Grant

Upon purchase or enrollment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the purchased courses and materials for your personal, non-commercial educational purposes only.

4.2 Access Duration

Individual course purchases include 12 months of access from the date of purchase. Annual subscription plans provide access to all included courses for the subscription period. Enterprise agreements are governed by separate terms specified in the applicable contract.

4.3 Restrictions

You agree NOT to:

• Share your account credentials or allow others to access your account
• Copy, reproduce, distribute, or publicly display course content
• Download, record, or capture course materials except as expressly permitted
• Modify, adapt, translate, or create derivative works from our content
• Use automated systems to access courses or extract content
• Resell, sublicense, or commercially exploit course materials
• Use content for competing training or educational services
• Remove or alter any copyright, trademark, or proprietary notices

5. Intellectual Property

All content on our platform—including but not limited to courses, videos, text, graphics, logos, images, software, and the overall design and structure—is owned by Greymark Insight Group or our licensors and is protected by copyright, trademark, and other intellectual property laws. The CompliQuest name, logo, and all related marks are trademarks of Greymark Insight Group. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

6. Payments and Refunds

6.1 Pricing and Payment

All prices are displayed in the applicable currency and are subject to change without notice. Payment is processed securely through our third-party payment processor. You agree to provide accurate payment information and authorize us to charge the applicable fees.

6.2 Refund Policy

We offer a 14-day refund period for individual course purchases, provided you have completed less than 25% of the course content. To request a refund, contact us at hello@compliquest.com within 14 days of purchase. Refunds are not available for:

• Courses where more than 25% of content has been accessed
• Courses where a certificate has been issued
• Subscription plans after the first 7 days
• Enterprise or custom training agreements (governed by separate terms)
• Promotional or discounted purchases (unless required by law)

7. Certificates and Credentials

Certificates are issued upon successful completion of course requirements as determined by CompliQuest. Certificates represent completion of our educational content and are not professional licenses or government certifications. We do not guarantee that certificates will be accepted by any particular employer, institution, or regulatory body. Misrepresentation of certificate status or alteration of certificates is strictly prohibited and may result in certificate revocation.

8. User Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property or other proprietary rights
• Transmit any harmful code, malware, or disruptive content
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the Services or servers
• Harass, threaten, or defame other users or our staff
• Impersonate any person or entity
• Collect user information without consent

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, completeness, or timeliness of content
• Warranties that our content constitutes legal, financial, or professional advice

Our courses provide educational information and should not be considered a substitute for professional advice. You are solely responsible for decisions made based on course content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREYMARK INSIGHT GROUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages arising from any content or conduct of third parties

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Greymark Insight Group, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your conduct in connection with the Services.

12. Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice. We may also modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your account and access to Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The arbitration shall be conducted in Singapore in the English language. You agree to waive any right to a jury trial or to participate in a class action.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Greymark Insight Group regarding the Services and supersede all prior agreements and understandings.
